ROAMATE™ MASTER TERMS OF SERVICE AGREEMENT
READ THIS AGREEMENT CAREFULLY. IT CONTAINS A MANDATORY ARBITRATION CLAUSE, A CLASS‑ACTION WAIVER, CAPS ON DAMAGES, AND OTHER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.

1. Parties & Acceptance
This Terms of Service Agreement (the “Agreement”) is a legally binding contract between Roamate, Limited, a Pennsylvania limited liability company domiciled in Erie County, PA (“Roamate,” “we,” “us,” or “our”), and you, the individual who downloads, installs, registers for, or uses any part of the Roamate mobile application, website, API, or related services (collectively, the “Platform”).
BY ACCESSING, DOWNLOADING, REGISTERING FOR, OR USING THE PLATFORM, YOU:
- AFFIRM that you are at least 18 years old (or the age of majority in your country if higher) and legally competent to enter into a binding agreement;
- ACKNOWLEDGE that you have read, understood, and agree to be legally bound by this Agreement;
- CONSENT to receive all notices, terms, and records electronically;
- AGREE to comply with Roamate’s Privacy Policy, Community Guidelines, and Safety Guidelines, which are incorporated by reference into this Agreement and enforceable as part of it;
- AGREE that if you subscribe to a paid service, your subscription may automatically renew unless canceled in accordance with Section 8; and
- AGREE that any dispute arising under this Agreement will be resolved through the mandatory arbitration clause in Section 18, including the waiver of class actions and the exclusive arbitration venue of Erie County, Pennsylvania (USA).
If you do not agree to this Agreement or any of the incorporated policies, you must not use the Platform.
Roamate reserves the right to update these Terms at any time, in its sole discretion. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Agreement.
1A. Legal Disclaimers & Notices
This Agreement includes terms that may affect your legal rights. In particular:
- Certain features of the Platform, including subscription services and background check tools, involve recurring charges, non‑refundable payments, and mandatory identity verification (see Sections 3, 8, and 14).
- Your subscription will automatically renew unless canceled in accordance with our Payment Terms (see Section 8).
- Section 18 of this Agreement contains a mandatory arbitration clause and class‑action waiver. Except where prohibited by law, any disputes will be resolved by individual arbitration. You may opt out of arbitration within 30 days of account creation.
- You hereby waive your right to bring claims on a class, collective, or representative basis.
- Notice to California Users: If you reside in California, you may cancel your subscription and request a refund at any time prior to midnight of the third business day after purchase. Additional cancellation and refund rights may apply based on your jurisdiction (see Section 8 for jurisdiction‑specific provisions).
2. Roamate’s Role — No Duty, No Fiduciary, No Agency
ROAMATE IS A PASSIVE COMMUNICATIONS TOOL.
We are NOT a travel agent, payments intermediary, common carrier, insurer, escrow agent, broker, fiduciary, guarantor, or seller of travel‑related services. We do NOT arrange or manage any travel, lodging, transportation, visas, reservations, payments, or meetups on your behalf. Roamate strongly recommends all Users purchase comprehensive travel, medical, personal liability, and emergency insurance coverage prior to any travel or meetings arranged through the Platform.
NO DUTY OF CARE, LOYALTY, OR SAFETY is owed to you. We do NOT control or supervise any User’s behavior on or off the Platform. ALL USE OF ROAMATE IS AT YOUR OWN RISK.
You are solely responsible for your own:
- Travel arrangements, including flights, cruises, trains, rideshares, or accommodations;
- Compliance with customs, border, entry, exit, or immigration laws;
- Possession and validity of passports, travel documents, entry permits, or other required paperwork;
- Visa applications, processing times, or denials;
- Financial decisions, cost‑sharing agreements, and transactions with other Users;
- Health requirements, travel insurance, vaccinations, and medical fitness;
- Safety during transit, lodging, excursions, or any in‑person interactions; and
- Familiarity with local laws, customs, or risks of destinations you visit.
Roamate does NOT verify or guarantee the accuracy, legality, safety, trustworthiness, or suitability of any User, trip, destination, itinerary, or third‑party product or service. We do NOT collect, hold, disburse, or escrow funds between Users. We do NOT mediate disputes or provide refunds.
Roamate does NOT provide emergency response, rescue, medical assistance, or personal safety services. Users traveling or interacting off‑platform must arrange and rely upon their own emergency services or local authorities. Roamate does not provide real‑time intervention or support during user interactions or emergencies. Users must independently seek immediate assistance from local emergency services, law enforcement, or relevant authorities if they encounter threats, risks, disputes, or safety concerns.
Roamate is not responsible for and expressly disclaims any liability related to mental or emotional distress arising from interactions, compatibility issues, or disputes between Users. Roamate is not a mental health provider and Users must seek professional assistance independently if needed.
ALL INTERACTIONS, TRAVEL, AND TRANSACTIONS COORDINATED THROUGH ROAMATE ARE MADE AT YOUR SOLE RISK AND DISCRETION.
To the maximum extent permitted by law, YOU EXPRESSLY RELEASE AND HOLD HARMLESS ROAMATE from any and all claims, liabilities, damages, losses, injuries, deaths, fraud, theft, misrepresentations, delays, detainments, immigration issues, or expenses arising from or related to your use of the Platform or any relationship with another User.
3. Optional Background Checks – “Cleared to Roam”
Roamate may make available an optional user‑verification feature branded Cleared to Roam™ (“Cleared to Roam”). Cleared to Roam is provided through an independent background‑check provider (each, a “Background Check Provider” or “BCP”). Cleared to Roam is voluntary and not required to access core Service functionality (e.g., creating an account, browsing, or viewing profiles).
If you opt in, you authorize the BCP to (a) verify your identity and (b) where legally permitted and with your explicit consent, perform public‑records checks (which may include criminal‑records searches and related screenings) using information you provide (e.g., full name, date of birth, address history, government‑issued ID). Roamate is NOT a “consumer reporting agency” under the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. All screenings are for informational purposes only to determine whether a User qualifies for Cleared to Roam verification based on Roamate’s internal safety criteria. Roamate’s internal safety criteria are designed solely to evaluate a user’s eligibility for Cleared to Roam status based on certain publicly reportable criminal convictions. These criteria do not evaluate personality, risk of future conduct, or overall character. A full list of disqualifying offenses is included below.
Disclaimers & Limitations
Roamate makes NO REPRESENTATIONS OR WARRANTIES about the completeness, accuracy, or timeliness of any background check. Reports may be incomplete, outdated, expunged, sealed, or contain errors. Roamate does not control the contents of third‑party screening data.
Cleared to Roam is NOT a safety certification. It does not mean a User has no criminal history. It does not mean a User will not commit unlawful, harmful, or unsafe acts in the future. Roamate does NOT screen for current behavior, possession of contraband, customs violations, addiction, or compliance with travel laws. Roamate has no legal duty to prevent harm, predict future conduct, or ensure the safety of interactions between Users. Cleared to Roam is not a promise, warranty, or representation of any user’s personal character, behavior, or decision‑making, now or in the future.
Cleared to Roam is not continuous monitoring. It reflects only information available at the time of screening and does not update in real time.
Use of the Cleared to Roam feature may create a false sense of security. Roamate makes no promise or assurance that a user who passes the background check will behave lawfully, respectfully, or safely in the future. You should use all usual precautions when meeting or traveling with anyone, regardless of their verification status.
Duration & Renewal
Cleared to Roam verification is valid for twelve (12) months from the date of issuance. After that period, your badge will automatically expire. To maintain Cleared to Roam status, you must repurchase and complete a new background check annually. Roamate may, but is not obligated to, notify you prior to badge expiry.
Travel Risk Disclaimer
Roamate does not screen for travel compliance. A user who passes a background check may still be prohibited from entering certain countries or crossing international borders due to other legal issues, visa restrictions, no‑fly lists, or customs violations. It is your responsibility to ensure you and any travel companions meet the requirements of your destination.
Eligibility Criteria
Roamate applies its safety criteria in its sole and absolute discretion and reserves the right to modify or update such criteria at any time to protect platform integrity, minimize risk, and promote community safety. Users have no right to challenge, appeal, or demand review of Roamate’s decision regarding Cleared to Roam eligibility. Users will NOT qualify for Cleared to Roam if a background check reveals, at any time:
- Violent crimes;
- Sexual offenses;
- Crimes against children;
- Financial fraud, identity theft, or related crimes;
- Stalking or harassment;
- Weapons‑related offenses;
- Burglary or home invasion; or
- Drug‑related felonies.
Non‑violent misdemeanors, such as petty theft, shoplifting, or minor drug possession, may be acceptable ONLY if they occurred more than seven (7) years ago. Traffic violations and minor infractions unrelated to interpersonal safety do not affect eligibility.
Roamate reserves the sole and final right to grant or deny Cleared to Roam status based on these criteria. Denial is not an adverse action under FCRA, is not appealable, and does not imply a moral or personal judgment.
Fees & Refunds
Cleared to Roam background check fees are generally non‑refundable once submitted to the Background Check Provider. Refunds are granted only: (i) where required by applicable law; (ii) where required by Apple App Store or Google Play policies; or (iii) if the check cannot be completed due to provider/system issues. Denial, revocation, or non‑issuance based on the criteria disclosed above is not a defect in the service and does not entitle you to a refund.
Assumption of Risk & Waiver
By using the Roamate Platform, you KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS associated with interacting with other Users, whether Cleared to Roam verified or not. Roamate disclaims all liability for harm, injury, death, fraud, theft, emotional distress, property damage, customs violations, or legal infractions arising from User interactions, including during travel or shared lodging.
Cleared to Roam is a limited verification tool, not a guarantee of safety or behavior. To the fullest extent permitted by law, you WAIVE ANY AND ALL CLAIMS against Roamate related to the Cleared to Roam feature, including but not limited to claims for negligent screening, failure to prevent harm, or reliance on another User’s Cleared to Roam status.
Any dispute arising from or related to Cleared to Roam shall be resolved exclusively by the binding arbitration provision in Section 18 of this Agreement.
If purchasing Cleared to Roam, additional disclaimers will be presented at the time of checkout, including a non‑refundable fee acknowledgment and consent to screening.
Cleared to Roam is a limited Roamate Platform feature offered solely for the convenience of Users. It is not a required component of access, and Users acknowledge that they may encounter individuals who have not undergone any screening. Use of this feature is entirely at your own risk and discretion.
4. Assumption of Risk & Covenant Not to Sue
YOU KNOWINGLY, VOLUNTARILY, AND UNEQUIVOCALLY ASSUME ALL RISKS, whether known or unknown, foreseeable or not, arising from or related to:
- Your use of the Platform;
- Your interactions, communications, meetings, or travel arrangements with any other User (whether online or offline);
- Any third‑party services, accommodations, bookings, or travel made off‑Platform;
- Any loss, harm, injury, or damage arising from a User’s past, current, or future conduct.
This includes, without limitation: physical injury, sexual assault, illness, fraud, theft, financial loss, emotional distress, property damage, customs violations, legal infractions, deportation, detainment, and death.
Roamate expressly disclaims any liability arising from sexual assault, harassment, or misconduct by any User, regardless of Cleared to Roam status or matching compatibility results. Users are solely responsible for ensuring their safety and comfort at all times. Users acknowledge that Roamate does not provide real‑time monitoring, security, or emergency response.
Roamate disclaims all liability for financial transactions or disputes between Users. Users assume sole responsibility for verifying the legitimacy of transactions and ensuring secure payment methods off‑platform. Roamate disclaims all liability for financial transactions or disputes between Users, including fraud, scams, misrepresentations, or deceptive schemes. Users assume sole responsibility for verifying the legitimacy of all transactions and must independently ensure secure payment methods off‑platform.
Roamate disclaims any liability arising from user conduct involving drugs, alcohol, or illegal substances, including any resulting harm, injury, or legal infractions.
Roamate expressly disclaims responsibility for addressing or accommodating any user's medical or accessibility needs. Users must independently ensure that all travel arrangements and interactions account for their health conditions, disabilities, dietary restrictions, allergies, or special medical requirements. Roamate explicitly disclaims all liability related to exposure, transmission, or infection from COVID‑19 or other communicable diseases arising from interactions arranged through the Platform.
ROAMATE MAKES NO GUARANTEE OF SAFETY, SUITABILITY, OR COMPATIBILITY BETWEEN USERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY IRREVOCABLY WAIVE AND COVENANT NOT TO COMMENCE, AID, OR JOIN ANY LEGAL ACTION, LAWSUIT, OR CLAIM against Roamate, its owners, employees, officers, agents, affiliates, contractors, or assigns, for any injury, loss, or harm allegedly arising out of: Your use of the Platform; Another User’s conduct; Any verified or unverified User status, including Cleared to Roam; Any decision you make to travel with, meet, or trust another User; Any alleged negligence or failure to prevent foreseeable or unforeseeable harm.
ALL SUCH CLAIMS MUST BE RESOLVED EXCLUSIVELY THROUGH THE BINDING ARBITRATION PROVISION IN SECTION 18.
5. Account Eligibility, Access, & Termination
To use the Platform, you must register for a Roamate account (“Account”). By creating an Account, YOU REPRESENT AND WARRANT that:
- You are at least 18 YEARS OLD (or the legal age of majority in your jurisdiction, if higher);
- You are legally permitted to use the Platform under the laws of your home country; and
- You are not barred from using the Platform under any applicable law, regulation, or government restriction.
Roamate may monitor and verify age or identity at any time. We reserve the right to suspend or terminate Accounts we believe to be in violation of these requirements. You may create an Account manually or via a third‑party login (e.g., Facebook, Google).
By using such a login, YOU AUTHORIZE ROAMATE to access limited profile information consistent with our Privacy Policy. You may not use another person’s Account or share your login credentials without our explicit written permission.
Fraudulent Registration and Misuse
If we determine, in our sole discretion, that your Account was created using false, misleading, or fraudulent information (including but not limited to name, age, identity, location, photos, or verification status), we may immediately suspend or terminate your Account without notice or refund.
If your Account is terminated for cause, YOU AGREE NOT TO RE‑REGISTER or attempt to create a new Account without our prior written authorization. Roamate reserves the right to block IP addresses, device identifiers, and payment methods associated with banned or suspended users.
Termination and Suspension Rights
Roamate reserves the absolute right to suspend, restrict, or permanently terminate your Account at any time, with or without notice, for any reason or no reason, including (but not limited to):
- Any violation of this Agreement, the Community Guidelines, Safety Guidelines, or any other posted policy;
- Any inappropriate, unsafe, fraudulent, abusive, illegal, or harmful behavior — on or off the Platform;
- Your conduct on other platforms owned or operated by Roamate or its affiliates;
- Any other reason that, in Roamate’s sole discretion, poses a risk to the Platform or its community.
NO REFUND WILL BE PROVIDED if your Account is terminated or restricted for cause, even if you have an active subscription, Cleared to Roam status, or unused features. Termination of your Account does not relieve you of any existing payment obligations or waive Roamate’s right to pursue appropriate legal remedies or recover damages.
Appeals Process & Jurisdiction‑Specific Rights
If your Account is terminated or restricted, you may submit an appeal within six (6) months by contacting legal@roamateapp.com. Your appeal must include your Roamate username, the email used to register, and a written explanation.
If you reside in the European Union (EU):
- You may access third‑party out‑of‑court dispute settlement procedures;
- You may seek remedies in the courts of your EU member state;
- You may file complaints with your national Digital Services Act supervisory authority.
If you reside in the United Kingdom (UK):
- You may bring a claim under local law if your content or access was removed in violation of contract;
- You may request additional transparency under the UK Online Safety Act.
Account Ownership & Platform Limitations
Each User may maintain only one (1) Account. Roamate reserves the right to remove, merge, or disable duplicate Accounts. Some Platform features or content may only be accessible to Users with verified or active Accounts. You may delete your Account at any time through your settings. However, deleting your Account DOES NOT CANCEL any active subscription. You must cancel any recurring billing directly through your payment provider (e.g., Apple, Google) to stop future charges. Account data will be retained and deleted in accordance with our Privacy Policy.
5A. Identity Verification & Device Access
To access or use the Platform, you must be at least 18 years old (or the legal age of majority in your jurisdiction, if higher). Roamate reserves the right to monitor for underage or unauthorized use and may suspend, terminate, or request proof of eligibility at any time.
We may, at our sole discretion and at any time, require you to verify your identity to register for or continue using your Account. This may include submitting a government‑issued ID, uploading a live selfie, verifying your phone number, or completing in‑app authentication steps. Refusal or failure to comply with any verification request may result in temporary or permanent restriction of your Account access.
To maintain Platform safety and trust, you agree that:
- You will only maintain one (1) Account at a time.
- You will not impersonate or misrepresent any person or identity.
- You will not create accounts on behalf of others or attempt to bypass verification, blocks, or suspensions.
- You authorize Roamate to retain, review, and securely store identity verification data in accordance with our Privacy Policy.
Roamate may restrict access, suspend, or close any Account that appears to: Belong to a user underage or otherwise ineligible to use the Platform; Be duplicative, fraudulent, or in violation of these Terms; Pose a risk to community safety or platform integrity.
YOU ACKNOWLEDGE THAT VERIFICATION IS A CONDITION OF USE AND THAT FAILURE TO COMPLETE ANY VERIFICATION PROCESS MAY RESULT IN LOSS OF ACCESS OR TERMINATION OF YOUR ACCOUNT.
6. User Conduct & Safety Enforcement
You agree to use the Roamate Platform in a respectful, lawful, and responsible manner.
By accessing the Platform, YOU AGREE NOT TO:
- Violate any local, state, federal, or international law or regulation;
- Harass, stalk, abuse, defame, defraud, exploit, coerce, or threaten any person;
- Upload, transmit, or post content that is false, defamatory, obscene, sexually explicit, hateful, discriminatory, exploitative, or otherwise violates our Community Guidelines;
- Impersonate any person or misrepresent your identity, age, background, or affiliation;
- Attempt to access or tamper with non‑public areas of the Platform or systems;
- Scrape, crawl, mine, mirror, extract, or otherwise misuse data from the Platform;
- Promote or solicit any illegal activity, including drug use, trafficking, or sexual services;
- Use Roamate for commercial, promotional, or affiliate marketing without our prior written consent;
- Solicit funds or financial transactions from other Users in a misleading, exploitative, or unapproved manner;
- Submit false, malicious, biased, or retaliatory reports or complaints.
Roamate may investigate any conduct, on or off the Platform, that it determines in its sole discretion: Violates this Agreement, our Community Guidelines, or Safety Guidelines; Endangers, harasses, or causes harm to any person; Poses a risk to the integrity, trust, or safety of the Platform; Constitutes fraud, deception, manipulation, or inauthentic behavior; Occurred in direct messages, third‑party platforms, or real‑world interactions.
Roamate reserves the sole and final right to: Remove content; Issue warnings or notices; Limit, restrict, or suspend access to certain Platform features; Permanently ban Accounts from Roamate or affiliated services; Cooperate with law enforcement, including disclosing information or records as permitted by law; Take any additional action necessary to protect its users and community.
We may take action even if the misconduct occurred outside the Platform (e.g., during in‑person travel, text messages, or third‑party communications).
Consent is always required. No user has a right to sex, intimacy, or physical contact of any kind. Consent must be affirmative, continuous, and may be withdrawn at any time. Nonconsensual conduct, including sexual acts without consent, may result in immediate termination, cooperation with law enforcement, and criminal or civil liability under applicable laws (including, without limitation, Colorado Revised Statutes § 18‑3‑402 and § 18‑3‑404).
6A. Reporting, Blocking & Safety Tools — No Duty to Intervene
Roamate provides in‑app tools that allow Users to “Block” or “Report” others. You may also choose to stop interacting with a User at any time. These tools exist solely for your convenience and do not create any duty of care, investigation, or action on Roamate’s part.
Roamate may, but is under no obligation, to review, act upon, or respond to reports. Submitting a report does not guarantee that any action will be taken. False or abusive reports (including retaliatory complaints or intentionally misleading submissions) violate this Agreement and may result in Account suspension or termination.
Roamate does not notify users who have been reported. To protect our users and community integrity, reports remain confidential to the maximum extent permitted by law.
If your Account is restricted or terminated based on a violation of these provisions, YOU WILL NOT BE ENTITLED TO A REFUND of any paid features or subscriptions, regardless of remaining time or status.
7. USER-GENERATED CONTENT, LICENSE GRANT, AND PLATFORM RIGHTS
a. Definitions
There are three types of content on the Platform:
- Your Content: Content you submit, upload, post, transmit, or otherwise make available on or through Roamate.
- Member Content: Content submitted by other Users.
- Roamate Content: Content owned or licensed by Roamate, including trademarks, software, algorithms, databases, UI/UX, and proprietary text or media.
b. License Grant
By submitting Your Content, you grant Roamate a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, display, host, store, modify, translate, create derivative works from, and otherwise exploit Your Content in any media now known or developed in the future, for any purpose related to the operation, promotion, or improvement of the Platform. This license survives termination of your Account.
You also authorize Roamate to act on your behalf in enforcing copyright protections of Your Content against unauthorized use by third parties outside of the Platform, including the right to issue takedown notices under 17 U.S.C. § 512(c)(3) (DMCA).
c. Restrictions on Your Content
You agree that Your Content will not:
- Violate any law, regulation, or right of any third party;
- Contain unlawful, defamatory, threatening, harassing, or hateful material;
- Include any sexually explicit, obscene, or pornographic material;
- Infringe on intellectual property, privacy, publicity, or contractual rights;
- Depict individuals without their express, verifiable consent;
- Contain spam, viruses, bots, scraping mechanisms, or malicious code;
- Misrepresent your identity or impersonate others;
- Promote commercial activity, links, or sales without Roamate’s prior written consent;
- Otherwise violate Roamate’s Community Guidelines or Safety Guidelines.
Roamate reserves the sole right to determine what content is inappropriate, and may remove or restrict any content or Account that violates these terms, at any time and without notice.
d. Storage & Visibility
Your Content may be publicly visible to other Users and third parties. Roamate is not obligated to store, archive, or backup Your Content, and you are solely responsible for maintaining copies of anything important to you.
e. Member Content
You understand that Member Content belongs to the User who posted it and is displayed solely at their direction. You may not use Member Content for any purpose outside of personal use on the Platform. Commercial use, harassment, scraping, or republishing of Member Content is strictly prohibited.
f. Roamate Content
All rights in and to Roamate Content are retained by Roamate. You are granted a limited, revocable, non-sublicensable license to access Roamate Content solely for personal, non-commercial use of the Platform. You may not copy, modify, distribute, reverse-engineer, scrape, or use our intellectual property without express written permission.
g. Use of Recommender Systems
Roamate uses algorithmic systems to recommend compatible Users based on quiz responses, platform activity, and other behavioral indicators. These systems are proprietary. You acknowledge that recommendations are not guaranteed to result in compatible or safe matches.
h. No Duty to Monitor
Roamate does not assume any obligation to pre-screen, moderate, or monitor any content. However, we reserve the right—but not the obligation—to access, review, retain, and/or remove any content or messages at our sole discretion, including direct messages and account metadata, without notice.
i. DMCA & Copyright Complaints
If you believe that content on Roamate infringes your copyright, you may submit a DMCA-compliant takedown notice to legal@roamateapp.com. Roamate complies with all valid takedown requests under the Digital Millennium Copyright Act.
j. Section 230 Notice
Pursuant to 47 U.S.C. § 230, Roamate is not liable for content posted by Users. We are not the publisher of User content and assume no responsibility for its accuracy or legality.
k. Indemnification for User Content
You are solely responsible for Your Content. You agree to indemnify, defend, and hold harmless Roamate and its affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from or related to: Your Content; your use or misuse of the Platform; any violation of this Agreement; and any violation of applicable law or the rights of a third party.
8. PAYMENT TERMS
8.1 Free and Paid Features
The Roamate Platform offers both free and paid features. While creating an Account and browsing certain areas of the Platform is free, access to premium functionality—such as initiating conversations, unlocking compatibility insights, participating in Cleared to Roam verification, or accessing expanded trip planning tools—requires a paid subscription or one-time in-app purchase (“Paid Features”).
8.2 Subscriptions and In-App Purchases
Premium Features are made available through recurring subscription plans (e.g., monthly or annual) and non-subscription in-app purchases (e.g., Cleared to Roam). Subscriptions are billed in advance and auto-renew at the end of each billing cycle unless cancelled. You authorize Roamate or its payment partners to charge your designated payment method on a recurring basis unless and until you cancel in accordance with Section 8.6.
8.3 Third-Party Payment Platforms
All payments are processed via third-party platforms (e.g., Apple App Store, Google Play, or authorized processors). By making a purchase, you agree to comply with the payment terms, privacy policies, and refund policies of such platforms. Roamate does not control and is not responsible for third-party billing disputes.
8.4 Auto-Renewal
IF YOU PURCHASE A SUBSCRIPTION, IT WILL AUTOMATICALLY RENEW at the end of the current term (e.g., monthly or annually) unless cancelled in advance. The renewal will be at the then-current subscription rate, which may be subject to change with notice. You are responsible for canceling before the renewal date if you do not wish to continue. Deleting your Account or the Roamate app does not cancel your subscription; manage cancellations directly through the applicable third-party platform.
8.5 Free Trials
Roamate may offer free trial periods for certain Paid Features. At the end of the trial period, your subscription will automatically convert to a paid plan unless cancelled in advance. Roamate reserves the right to restrict free trials to new users and to modify or discontinue such offers at any time.
8.6 How to Cancel
- Apple App Store: Settings > Apple ID > Subscriptions
- Google Play Store: Google Play > Menu > Subscriptions
- Other platforms: Follow cancellation instructions provided at purchase
You may continue to use the service until the end of your current billing period. No prorated refunds will be issued except as required by law (see Section 8.7).
8.7 Refund Policy
All purchases are final and non-refundable unless required by applicable law. However, the following jurisdiction-specific rights apply:
- Residents of CA, AZ, CO, CT, IL, IA, MN, NY, NC, OH, RI, WI: You may cancel without penalty prior to midnight of the third business day following the date of purchase. In the event of death or permanent disability, your estate may request a prorated refund.
- Subscribers outside the U.S.: Weekly subscriptions refundable within 6 days; monthly or longer subscriptions refundable within 14 days; renewals non-refundable.
Refund Requests must be submitted through the platform used to subscribe (Apple/Google/Other). For non-store purchases, contact legal@roamateapp.com with your Order ID.
8.8 In-App Purchases (Cleared to Roam, etc.)
One-time in-app purchases such as Cleared to Roam are billed separately and are non-refundable, even if your application is denied. By completing the purchase, you acknowledge the fee is for the screening process, not the result. Additional disclaimers appear at checkout.
8.9 Taxes & Charges
You are responsible for any applicable taxes unless we expressly state otherwise. Roamate may adjust pricing to reflect taxes, currency fluctuations, or local regulations.
8.10 Chargebacks & Fraud
Initiating a chargeback without first contacting us to resolve the issue may result in immediate termination of your Account and denial of future service. Roamate may pursue collection or legal action for fraudulent activity.
8.11 Changes to Pricing or Services
Roamate may modify, discontinue, or change pricing of any Paid Features at any time, with reasonable notice where required. Continued use after such changes constitutes acceptance.
9. PUSH NOTIFICATIONS & LOCATION-BASED FEATURES
9.1 Push Notifications
Roamate may send emails, text messages, push notifications, alerts, in-app messages, and other communications regarding Platform activity, promotional offers, compatibility updates, product announcements, safety alerts, and feature enhancements (collectively, “Communications”). Upon downloading the app, you may be prompted to enable or disable push notifications. You can withdraw consent in device settings. Essential service-related notices (e.g., password resets, security alerts, legal updates) are required and may not be disabled.
9.2 Location-Based Services
Certain features rely on location access (GPS, Wi-Fi, Bluetooth, IP). By enabling location permissions, you consent to collection and use of location data to enhance your experience. You may disable location access in device settings, though doing so may restrict functionality. See our Privacy Policy for details.
10. CONTENT RESTRICTIONS, DISCLAIMERS & JURISDICTIONAL NOTICES
A. No Obligation to Pre-Screen Content
Roamate does NOT pre-screen or actively monitor all content submitted by Users. Roamate is a passive intermediary protected under 47 U.S.C. § 230 and has no legal obligation to intervene in User communications, except where legally compelled. Roamate may review, remove, block, or moderate content at its sole discretion.
B. California Civil Code § 1542 Waiver
If you reside in California, you acknowledge and agree to the following: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN THEIR FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY THEM, WOULD HAVE MATERIALLY AFFECTED THEIR SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” You expressly waive any rights under Section 1542 and affirm that this release includes claims unknown or unsuspected at the time of agreement.
C. Colorado Resident Safety Policy (C.R.S. § 6-1-1112)
Roamate prohibits content or behavior that may reasonably threaten public or personal safety, including but not limited to misconduct involving unlawful sexual behavior, assault, kidnapping, stalking, harassment, threatened acts of homicide, or involuntary intoxication; any attempt to promote, incite, or encourage illegal acts that endanger others; and any conduct Roamate reasonably determines could threaten safety or well-being. Roamate may cooperate with law enforcement and take immediate action, including suspension or termination.
D. Content Subject to Location-Based Restrictions
Roamate may restrict access to content/services in specific jurisdictions, including but not limited to the European Union (EU Digital Services Act) and the United Kingdom (UK Online Safety Act). If you reside in these jurisdictions, you may have additional rights, including access to out-of-court dispute resolution, the ability to file complaints with local regulators, and specified appeals processes (see Section 5 for appeals).
11. NO PROFESSIONAL OR TRAVEL ADVICE; INFORMATIONAL USE ONLY
Certain content on the Platform — including travel tips, safety suggestions, packing guides, cultural notes, or destination highlights — may be created or curated by Roamate or submitted by Users (“Informational Content”). Such content is provided for general informational and entertainment purposes only and is not professional advice.
Roamate is not a travel agency, tour operator, immigration advisor, healthcare provider, legal consultant, or licensed professional. The Platform does not provide or warrant professional travel planning or booking; legal/immigration guidance; medical or mental health advice; safety guarantees or real-time security assessments; or financial, insurance, or tax advice.
You are solely responsible for verifying the legality, safety, and appropriateness of any destination, itinerary, or activity before traveling; consulting qualified professionals where needed; and making your own decisions. To the fullest extent permitted by law, you release and hold harmless Roamate from any and all liability for decisions or actions taken based on information found on the Platform. Informational Content is provided “AS IS,” without warranties or guarantees, and use is entirely at your own risk and discretion.
11. NO PROFESSIONAL OR TRAVEL ADVICE; INFORMATIONAL USE ONLY
Certain content on the Platform — including travel tips, safety suggestions, packing guides, cultural notes, or destination highlights — may be created or curated by Roamate or submitted by Users (“Informational Content”). Such content is provided for general informational and entertainment purposes only.
Roamate is not a travel agency, tour operator, immigration advisor, healthcare provider, legal consultant, or licensed professional of any kind. The Platform does not provide — and must not be relied upon for — any of the following:
- Professional travel planning or booking services
- Legal, immigration, or visa guidance
- Medical or mental health advice
- Safety guarantees or real-time security assessments
- Financial, insurance, or tax advice
Informational Content does not constitute professional advice, is not tailored to your individual circumstances, and may be outdated, incomplete, inaccurate, or subject to change without notice.
You understand and agree that:
- You are solely responsible for verifying the legality, safety, and appropriateness of any destination, itinerary, or activity before traveling;
- Roamate does not warrant or guarantee the accuracy, reliability, safety, or suitability of any Informational Content or travel suggestions posted by Roamate, Users, or third parties;
- You must consult your own qualified professionals (e.g., travel advisors, physicians, legal counsel, consulates) before relying on any content from the Platform for travel or personal decisions.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU EXPRESSLY RELEASE AND HOLD HARMLESS ROAMATE FROM ANY AND ALL LIABILITY FOR DECISIONS OR ACTIONS YOU TAKE BASED ON INFORMATION FOUND ON THE PLATFORM.
Informational Content is provided “AS IS,” WITHOUT WARRANTIES OR GUARANTEES OF ANY KIND, and use of such content is entirely at your own risk and discretion.
12. CONFIDENTIALITY, NON-DISPARAGEMENT & FAIR COMMENT
You and Roamate agree that neither party shall knowingly publish, share, post, or disseminate any false, malicious, misleading, defamatory, or confidential information about the other, whether online or offline, including but not limited to social media, blogs, forums, or public reviews.
This provision does not restrict your right to express honest, non-defamatory opinions or consumer reviews, as protected under the Consumer Review Fairness Act, 15 U.S.C. § 45b. However, Roamate reserves the right to take legal action against knowingly false, misleading, or malicious statements that damage its business, reputation, or user trust.
You acknowledge and agree that Roamate may pursue injunctive relief, damages, and legal fees to the fullest extent permitted by law for any breach of this section.
13. NO ACCESS TO INTERNAL SYSTEMS, DATA, OR DECISIONS
You agree and acknowledge that:
- You have no right to inspect, audit, or demand access to Roamate’s internal systems, databases, moderation decisions, safety logs, source code, recommender algorithms, internal communications, enforcement records, or audit trails;
- You may not request such access in discovery, except pursuant to a valid, binding court order or arbitral subpoena consistent with the dispute resolution procedures set forth in Section 18 of this Agreement;
- Any attempt to reverse engineer, extract, replicate, analyze, or otherwise misuse Roamate’s internal systems, logic, or user data constitutes a material breach of this Agreement and may result in immediate account termination, legal action, or both.
Roamate reserves the right to protect its intellectual property, enforcement mechanisms, and proprietary technology through technical, contractual, and legal means.
14. DISCLAIMER OF WARRANTIES
THE PLATFORM, INCLUDING ALL CONTENT, FEATURES, MATCHING ALGORITHMS, COMPATIBILITY INSIGHTS, USER PROFILES, ROAMATE-GENERATED MATERIALS, TRAVEL TIPS, AND USER-GENERATED CONTENT (COLLECTIVELY, “CONTENT”) IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND—EXPRESS, IMPLIED, OR STATUTORY.
ROAMATE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;
- WARRANTIES THAT ANY MATCH, TRAVEL COMPANION, OR INTERACTION WILL BE COMPATIBLE, SAFE, TRUTHFUL, OR SUCCESSFUL;
- WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM MALICIOUS CODE OR DATA LOSS.
NO ORAL OR WRITTEN INFORMATION, INCLUDING FROM ROAMATE’S TEAM, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
ROAMATE MAKES NO GUARANTEES AS TO:
- THE COMPATIBILITY, CONDUCT, SAFETY, CHARACTER, OR BEHAVIOR OF ANY USER;
- THE AVAILABILITY OR ACCURACY OF ANY MATCHES, COMPATIBILITY RESULTS, OR TRAVEL RECOMMENDATIONS;
- THE TRUTHFULNESS OR LEGITIMACY OF ANY PROFILE, POST, OR COMMUNICATION;
- ANY OUTCOMES RELATED TO TRAVEL, CONNECTIONS, OR SHARED EXPERIENCES ARRANGED THROUGH THE PLATFORM.
YOU UNDERSTAND AND ACCEPT THAT YOU USE THE PLATFORM AND INTERACT WITH OTHERS SOLELY AT YOUR OWN RISK.
TO THE EXTENT THAT ANY DISCLAIMER OF WARRANTIES IS PROHIBITED BY APPLICABLE LAW, ROAMATE DISCLAIMS THE MAXIMUM SCOPE OF WARRANTIES PERMITTED UNDER SUCH LAW.
15. LIMITATION OF LIABILITY — CAPS, DISCLAIMERS & EXCLUSIONS
TO THE FULLEST EXTENT PERMITTED BY LAW, ROAMATE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
- DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY,
- PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH,
- OR ANY THIRD-PARTY CLAIMS,
arising out of or in connection with:
- Your access to, use of, or inability to use the Platform;
- Your interactions, travel, or transactions with other Users;
- Content posted by you or any User;
- Reliance on any information provided by Roamate or other Users;
- The Cleared to Roam feature or any background check outcome;
- Any in-app purchases or third-party services accessed through Roamate; or
- Any other claim related to the Platform, whether based in contract, tort (including negligence), strict liability, consumer protection law, privacy law, product liability, statute, or any other legal theory, even if Roamate has been advised of the possibility of such damages.
YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE PLATFORM OR ANY SERVICE IS TO STOP USING THE PLATFORM.
Roamate’s aggregate liability to you for all claims under this Agreement shall not exceed the greater of: (i) One Hundred U.S. Dollars (US $100) or (ii) the total fees you have paid to Roamate in the twelve (12) months preceding the event giving rise to the claim.
This limitation does not apply to Roamate’s own proven gross negligence, willful misconduct, or fraud, to the extent such exclusion is not enforceable under applicable law.
You acknowledge that this limitation of liability is an essential element of the bargain and that Roamate would not make the Platform available to you without these limitations.
16. INDEMNIFICATION
To the maximum extent permitted by law, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS ROAMATE, its owners, officers, employees, contractors, affiliates, agents, licensors, successors, and assigns from and against any and all third-party claims, liabilities, demands, damages, losses, investigations, judgments, penalties, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:
- Your use of or access to the Platform;
- Your content, conduct, or communications on or off the Platform;
- Your breach or alleged breach of this Agreement or any Roamate policy;
- Your violation of any law, regulation, or the rights of any third party (including intellectual property or privacy rights);
- Your negligent acts, omissions, fraud, or willful misconduct.
Roamate reserves the exclusive right to settle or compromise any claim, without your prior approval. You agree to fully cooperate in any defense Roamate undertakes.
This section does not require you to indemnify Roamate for fraud, willful misconduct, or any unlawful commercial practice by Roamate.
17. CLAIMS LIMITATION PERIOD
EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PLATFORM, OR ANY ROAMATE SERVICE MUST BE FILED WITHIN ONE (1) YEAR after such claim or cause of action accrues. If not filed within that time, it is permanently barred.
This provision does not shorten any statutory limitation period that cannot be waived or altered by agreement under applicable law.
18. BINDING ARBITRATION, CLASS-ACTION WAIVER, AND DISPUTE RESOLUTION
This Section 18 (“Arbitration Agreement”) governs all claims and disputes arising from or relating to your use of the Roamate Platform. Please read it carefully — it affects your legal rights.
18.1 Scope of Arbitration Agreement
This Arbitration Agreement applies to any and all disputes, claims, controversies, or causes of action (whether based in contract, tort, statute, regulation, ordinance, fraud, misrepresentation, or any other legal or equitable theory) between you and Roamate, Limited or its officers, agents, affiliates, contractors, successors, or assigns (“Roamate Parties”), arising out of or relating to:
- This Agreement or any prior version of it;
- The Roamate Platform, your Account, Cleared to Roam verification, content, purchases, or data;
- Your interactions or disputes with any other User;
- Any prior communications, representations, or services related to Roamate;
- Claims that arose before the Effective Date of this Agreement.
Except as stated below, all such disputes must be resolved by final, binding arbitration rather than in court.
18.2 Exceptions
You or Roamate may bring a claim in:
- Small claims court, if the claim qualifies;
- A court of competent jurisdiction for injunctive or equitable relief to protect intellectual property, trade secrets, or data;
- A court for claims not subject to arbitration under federal law, such as where prohibited by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act.
18.3 Informal Dispute Resolution Required
Before initiating arbitration, the parties agree to attempt to resolve the dispute informally:
- You must email legal@roamateapp.com with a detailed explanation of your claim and the relief sought, including your full name, account email, phone number, and mailing address.
- Roamate will respond and schedule a good-faith call or written exchange within 60 days.
- If not resolved during this informal process, either party may initiate arbitration.
Any applicable statute of limitations is tolled during this informal resolution period.
18.4 Arbitration Procedure
All arbitration will be:
- Administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by this Agreement;
- Conducted in Erie County, Pennsylvania, or remotely by video, at your election;
- Governed by the Federal Arbitration Act (FAA);
- Heard by one neutral arbitrator, selected in accordance with AAA rules;
- Decided under Pennsylvania law, except where preempted by federal law.
Roamate will pay all AAA filing and administration fees for claims under $10,000, unless the arbitrator finds the claim to be frivolous or made in bad faith.
18.5 No Jury Trials
YOU AND ROAMATE WAIVE YOUR RIGHT TO A TRIAL BY JURY. All claims shall be resolved through binding arbitration on an individual basis.
18.6 No Class Actions — Only Individual Relief
YOU AND ROAMATE AGREE that any arbitration shall be conducted in your individual capacity only — not as a plaintiff, class member, or representative in any class, mass, or collective proceeding.
No arbitration or claim may be joined, consolidated, or heard together with others unless:
- Bellwether arbitration is used under a Mass Filing Protocol (see below), or
- The arbitrator expressly authorizes a consolidated procedure under AAA rules.
18.7 Mass Filing Protocol (Bellwether & Batch Arbitration)
If 30 or more similar claims are filed against Roamate or its affiliates, coordinated by the same counsel or entities:
- The claims shall be temporarily paused;
- Each party will select 5 test cases for Bellwether Arbitration;
- Results may inform a Global Mediation of remaining claims;
- If mediation fails, remaining claims may proceed in Batch Arbitration, administered in groups of 100;
- Filing fees for paused claims will not be due until arbitrated.
These protocols avoid excessive legal costs and help resolve disputes fairly.
18.8 Opt-Out Procedure
If you do not wish to be bound by this Arbitration Agreement:
- You must email legal@roamateapp.com within 30 days of account creation;
- Include your full name, Roamate username, and a clear statement of your wish to opt out;
- If you opt out, this clause does not apply, but the rest of the Agreement remains in force.
Opt-outs are not retroactive and do not cancel other arbitration agreements you may enter with us.
18.9 Severability
If any portion of this Arbitration Agreement is deemed invalid or unenforceable, the remainder will remain in effect. If any claim may not be compelled to arbitration under applicable law, it must be brought exclusively in the state or federal courts of Erie County, PA.
18.10 Survival of Agreement
This Arbitration Agreement survives account termination, cancellation of services, and the expiration or termination of this Agreement.
19. GOVERNING LAW & FORUM SELECTION
Except where prohibited by mandatory law in your jurisdiction (such as the laws of your EU member state or the United Kingdom), this Agreement, your access to the Roamate Platform, and any dispute, claim, or controversy arising out of or relating to your relationship with Roamate (including your use of the Platform or any content therein), shall be governed by and construed exclusively under the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law principles or foreign legal doctrines (including but not limited to the GDPR, EU Digital Services Act, or UK Online Safety Act).
To the extent that any claim or dispute is not subject to arbitration under Section 18 of this Agreement, such claim or dispute shall be litigated exclusively in the state or federal courts of Erie County, Pennsylvania, and you irrevocably submit to the personal jurisdiction and venue of such courts. You waive any right to object to such jurisdiction or venue, including objections based on forum non conveniens or inconvenient forum.
You also agree that you will not initiate or participate in any class, consolidated, or representative action or proceeding against Roamate in any jurisdiction.
20. PRIVACY
Your use of the Platform is subject to Roamate’s Privacy Policy, which is hereby incorporated by reference into this Agreement.
By accessing or using the Platform, YOU ACKNOWLEDGE AND CONSENT TO:
- The collection, processing, and use of your personal data (including any information you provide during account creation, profile setup, or in-app interactions) as described in our Privacy Policy;
- The transfer and storage of your information to servers in the United States and other jurisdictions, which may have different privacy laws than your place of residence;
- The use of automated systems and algorithms (including recommender systems and compatibility matching tools) to process your data and suggest other Users or travel opportunities;
- The sharing of information with third-party service providers, including our background check vendor, identity verification partners, cloud storage vendors, analytics services, and law enforcement where legally required.
Roamate is committed to handling your personal data lawfully, fairly, and transparently. However, we do not guarantee data security, and you assume all risks associated with transmitting your information online.
If you do not agree to the terms of our Privacy Policy, you must discontinue use of the Platform.
21. MATCHING & COMPATIBILITY DISCLAIMER
Roamate provides user matching and compatibility-based services through proprietary algorithms, including, but not limited to, the Vibe Check Quiz ("Vibe Check"), which generate compatibility indicators and suggested matches. The outcomes of Roamate’s matching system and Vibe Check are based exclusively on information self-reported by users and provided voluntarily. Roamate does not independently verify or validate the accuracy, authenticity, completeness, or reliability of this user-submitted information.
Roamate makes no warranties, guarantees, representations, or promises regarding:
- The accuracy, efficacy, or suitability of matches suggested or generated by Roamate's matching algorithms, including the Vibe Check;
- The nature or quality of interactions, experiences, or compatibility between matched users;
- The outcomes or results derived from using Roamate's services.
Users explicitly acknowledge and agree that compatibility-based matching, including results from the Vibe Check, is inherently subjective. Roamate explicitly disclaims all liability, to the fullest extent permitted by law, related to user dissatisfaction or disputes resulting from reliance on suggested matches, compatibility indications, or outcomes of the Vibe Check.
By using Roamate’s matching services, you expressly accept and assume full responsibility for:
- Any decisions to interact, communicate, or travel with matched users;
- Assessing independently the compatibility, safety, and appropriateness of interacting with or traveling with any matched user;
- Any and all risks associated with reliance on Roamate’s matching services and Vibe Check.
Roamate's compatibility services and Vibe Check are offered solely on an "AS IS" and "AS AVAILABLE" basis, without any express or implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement.
22. THIRD-PARTY SERVICES & INTEGRATIONS
Roamate may integrate or rely on third-party service providers, APIs, and platforms, including (but not limited to) identity verification tools, background check services, analytics software, and payment processors (“Third-Party Services”). You acknowledge and agree that:
- Roamate is not responsible for the accuracy, availability, performance, policies, or practices of any Third-Party Service, even if used within or linked from the Platform.
- Your use of certain Platform features may be subject to additional terms, disclosures, or privacy policies from such providers.
- All information submitted through or processed by a Third-Party Service remains subject to Roamate’s Privacy Policy and this Agreement, unless otherwise disclosed.
- Roamate does not control the contents of third-party screening data provided by background check partners and is not liable for any omissions, inaccuracies, or adverse outcomes resulting therefrom.
To the fullest extent permitted by law, YOU RELEASE AND HOLD HARMLESS ROAMATE from all liability arising from your use of or reliance on any Third-Party Services.
23. THIRD-PARTY APP STORE TERMS
If you download or access the Roamate Platform through a third-party app store or mobile distribution platform (such as Apple’s App Store or Google Play) (each, a “Third-Party Store”), you acknowledge and agree that:
- This Agreement is solely between you and Roamate, not with the Third-Party Store. Roamate, not the Third-Party Store, is solely responsible for the Platform and all content, features, services, and support provided within it.
- Your use of the Platform must also comply with the then-current usage rules and terms of service of the applicable Third-Party Store. If any conflict exists between this Agreement and the Third-Party Store’s terms, the more restrictive or controlling terms will apply solely as between you and that Third-Party Store.
- The Third-Party Store has no obligation to provide any maintenance, support, or warranty services for the Platform. Roamate, not the Third-Party Store, is solely responsible for all support, warranties, product liability, legal compliance, consumer protection, and claims of intellectual property infringement relating to the Platform.
- You agree not to hold the Third-Party Store liable for any claims, losses, liabilities, damages, costs, or expenses related to your possession or use of the Platform, including but not limited to product liability, regulatory noncompliance, consumer protection, or intellectual property disputes.
- The applicable Third-Party Store (e.g., Apple Inc., Google LLC) and its subsidiaries are intended third-party beneficiaries of this Agreement. Upon your acceptance, such Third-Party Store shall have the right to enforce this Agreement against you as a third-party beneficiary.
- In the event of a conflict between this Agreement and any applicable terms of a Third-Party Store or mobile carrier, those terms shall govern with respect to your use of the Platform obtained through that Third-Party Store.
Roamate makes no representations or warranties regarding, and disclaims all responsibility for, any third-party products, services, or content accessed through a Third-Party Store or mobile carrier. You acknowledge and agree that you proceed at your own risk when engaging with such third parties.
24. TERMINATION & DATA RETENTION
Roamate may, at any time and in its sole discretion, suspend, restrict, or terminate your Account, or otherwise limit your access to the Platform for any reason or no reason, with or without notice, and with or without refund. This includes, but is not limited to, violations of this Agreement, our Community Guidelines, or applicable law.
Upon termination, your right to access the Platform and its features immediately ceases. Roamate shall have no liability to you or any third party for any termination or account restriction.
Data Retention: Roamate may retain your account information, profile data, content, and communications indefinitely, even after termination or account deletion, in accordance with our Privacy Policy and applicable law.
You acknowledge and agree that:
- Certain data may be retained for fraud prevention, legal compliance, enforcement of this Agreement, and platform integrity;
- Roamate may disclose your data to law enforcement, regulatory authorities, or legal counsel if required to do so or if Roamate, in its sole discretion, believes such disclosure is reasonably necessary to protect its rights, property, or the safety of its users or the public;
- Deleting your Account does not guarantee immediate or total deletion of your data from all systems and backups.

25. TERMINATION, SUSPENSION & REMEDIES
Effective Date & Duration
This Agreement takes effect the moment you create an Account or use the Roamate Platform and remains in force until terminated in accordance with this Section.
Account Termination by You
You may delete your Account at any time by accessing the in-app settings. Deleting your Account does not cancel any active paid subscription or in-app purchase, including Cleared to Roam. To cancel subscriptions, you must manage your payment settings directly through the Apple App Store, Google Play Store, or other Third-Party Store through which you subscribed. No refunds will be issued for unused subscription time unless required by law (see Section 8).
Termination or Suspension by Roamate
Roamate may, in its sole and absolute discretion, suspend, restrict, or permanently terminate your Account at any time, with or without notice or reason, including (but not limited to) the following:
- Violation of this Agreement, our Community Guidelines, Safety Guidelines, or applicable law;
- Misuse of the Platform or abusive, harmful, or inappropriate behavior, whether on or off the Platform;
- Reports of misconduct, threats, harassment, or safety concerns involving you;
- Past or present criminal conduct reasonably deemed incompatible with Platform integrity or user safety;
- Use of automated bots, fake profiles, or deceptive interactions;
- Submitting false, malicious, or retaliatory reports or appeals;
- Or for any reason Roamate, in its sole discretion, deems necessary to protect the Platform and its users.
Consequences of Termination
Termination of your Account includes immediate loss of access to the Platform and all data, features, or purchases associated with your Account. Upon termination, you forfeit any unused time, benefits, or verification status. All licenses granted to you under this Agreement automatically terminate.
Survival of Terms
The following sections survive termination of this Agreement and remain binding: Sections 3 (Cleared to Roam), 4 (Assumption of Risk), 8 (Payments & Refunds), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnity), 14 (Arbitration), 15 (Governing Law), and 18 (Termination), among others as applicable.
No Waiver or Liability
Roamate shall not be liable for any loss, refund, or damages resulting from the termination or restriction of any Account. All actions under this section shall be deemed made in good faith to enforce platform integrity and safety.
Cooperation with Law Enforcement
Roamate reserves the right to fully cooperate with legal authorities and may report conduct, content, or identities to law enforcement when deemed appropriate.
26. EXPORT CONTROL & SANCTIONS COMPLIANCE
You represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist-supporting” country;
- You are not listed on any U.S. Government list of prohibited or restricted parties, including but not limited to the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Denied Persons List;
- You agree to comply with all applicable export control, trade sanctions, and anti-terrorism laws of the United States and any other jurisdiction in which you access the Platform.
Violation of these provisions may result in immediate termination of your Account and legal reporting. Roamate reserves the right to block or restrict access based on geolocation, IP address, or compliance risk.
27. FORCE MAJEURE
Roamate shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to:
- Acts of God;
- Natural disasters;
- War, terrorism, cyber-attacks, or sabotage;
- Pandemic or epidemic;
- Power outages or telecommunications failures;
- Internet service provider disruptions;
- Government actions, orders, or regulations;
- Labor disputes or supply-chain interruptions.
Any such delay or failure shall not constitute a breach of this Agreement. Roamate’s performance will be excused for the duration and scope of the force majeure event.
28. NO THIRD-PARTY BENEFICIARIES
This Agreement is solely between you and Roamate. No third party — including other Users, affiliates, partners, or contractors — is entitled to enforce or rely on any part of this Agreement under any theory of law or equity, including third-party beneficiary doctrines.
29. ASSIGNMENT; SUCCESSORS; SURVIVAL
You may not assign, delegate, or transfer any rights or obligations under this Agreement without Roamate’s prior written consent. Any attempted assignment in violation of this clause is null and void.
Roamate may freely assign, transfer, or delegate this Agreement and any of its rights or obligations without notice or consent.
All provisions that by their nature should survive termination — including but not limited to indemnification, limitation of liability, risk assumption, dispute resolution, and arbitration — shall survive indefinitely and bind your heirs, successors, executors, and assigns.
30. SEVERABILITY & NO WAIVER
If any provision of this Agreement is found to be invalid, illegal, or unenforceable under applicable law, it shall be severed, and the remainder shall continue in full force and effect.
Roamate’s failure or delay to enforce any provision of this Agreement shall not be deemed a waiver of that provision or any other rights or remedies, and shall not limit its right to enforce the Agreement at a later time.
31. MISCELLANEOUS TERMS
A. No Joint Venture or Agency
Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, employment, fiduciary, or franchisor-franchisee relationship between you and Roamate. You are solely responsible for your conduct and interactions, and you agree that no legal relationship is created beyond that of independent parties to a contract.
B. Electronic Communication Consent
You agree that all agreements, notices, disclosures, and other communications provided electronically (via email, mobile notification, or in-app alert) satisfy any legal requirement that such communications be in writing. You consent to receive communications electronically and understand that your consent is required to use the Platform.
C. Controlling Language
This Agreement is written in English and shall be interpreted according to its English meaning. In the event of any conflict between this version and a translated version, the English-language version shall govern and control.
D. Severability
If any term or provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remainder shall remain in full force and effect. The invalid provision shall be severed to the narrowest extent necessary to make the Agreement enforceable.
E. Assignment
You may not assign, delegate, or transfer your rights or obligations under this Agreement without Roamate’s prior written consent. Any attempted assignment in violation of this provision is null and void. Roamate may freely assign or transfer this Agreement, in whole or in part, without notice or restriction.
F. Survival
Any provisions of this Agreement which by their nature should survive termination will survive, including without limitation Sections concerning user content, disclaimers, limitations of liability, indemnification, arbitration, governing law, and all waivers of claims or legal rights.
G. Entire Agreement
This Agreement, together with the Privacy Policy, Community Guidelines, Safety Guidelines, and any supplemental legal notices or policies referenced herein, constitutes the entire agreement between you and Roamate regarding use of the Platform. It supersedes all prior and contemporaneous oral or written understandings, agreements, representations, warranties, or communications. No waiver or modification of this Agreement shall be binding unless in writing and signed by Roamate. Roamate reserves the right to modify, amend, or replace any part of this Agreement at any time by posting a revised version with a new “Effective Date.” Your continued use of the Platform after any such change constitutes your acceptance of the updated Terms. If you do not agree to the amended terms, you must immediately discontinue all use of the Platform and delete your Account.
H. Cybersecurity and Unauthorized Access Disclaimer
Roamate employs reasonable security measures, but you acknowledge and agree that no system is entirely secure. You expressly agree that Roamate shall not be liable for any loss, damage, or harm resulting from unauthorized access, hacking, malware, phishing, ransomware, identity theft, or other cybersecurity incidents affecting your Account or data. You are solely responsible for safeguarding your login credentials and promptly notifying Roamate of any suspected unauthorized access.
I. Internet Connectivity and Third-Party Infrastructure Disclaimer
Roamate explicitly disclaims any liability arising from interruptions, outages, or delays of internet connectivity, servers, cloud service providers, mobile carriers, or third-party infrastructure beyond our reasonable control. You agree Roamate shall not be responsible for any losses or damages arising from such interruptions, outages, or connectivity issues, including disruptions impacting subscription-based or real-time features.
J. Third-Party Reviews and Testimonials Disclaimer
Roamate makes no warranties, representations, or guarantees regarding accuracy, authenticity, or completeness of any third-party reviews, testimonials, influencer statements, or user-generated promotional content. All such content represents the subjective opinions of individuals and does not constitute an endorsement or verification by Roamate. Reliance on such content is at your sole discretion and risk.
K. External Links and Third-Party Content Disclaimer
The Platform may contain links to third-party websites, services, apps, or resources not controlled by Roamate. Roamate expressly disclaims liability for content, privacy practices, data security, accuracy, or availability of any external sites or resources. Your access to external links is at your own risk, and Roamate will not be responsible for any damages arising from your use of external links.
L. Compliance with Local and International Laws
You expressly agree that you are solely responsible for compliance with local, state, national, and international laws applicable to your use of the Platform, interactions with other users, and travel arrangements. Roamate disclaims all liability arising from your failure to comply with applicable local and international laws, including without limitation customs, taxation, immigration, safety, and travel restrictions or requirements.
M. Communication Tools Disclaimer
Roamate provides messaging, chat, and other communication features for convenience only. Roamate does not guarantee delivery, timeliness, privacy, or security of user communications. You agree that Roamate is not liable for any loss, misunderstanding, or damages resulting from use or reliance on the Platform’s messaging or communication tools.
N. Modification of Platform Services
Roamate reserves the right at any time to modify, discontinue, or suspend, temporarily or permanently, any feature, service, or portion of the Platform with or without notice. You agree Roamate shall not be liable to you or any third party for any modification, suspension, discontinuance, or unavailability of Platform features or services.
O. Global Events and Travel Risk Disclaimer
Roamate expressly disclaims liability related to unforeseen global or regional events impacting travel arrangements, including pandemics, epidemics, wars, political upheaval, terrorism, natural disasters, strikes, governmental orders, border closures, or health emergencies. You assume all risk and liability associated with travel disruptions or cancellations arising from such global events, and Roamate will not be liable for any resulting losses or expenses.
